Economic Development

Our core practice helps businesses negotiate government incentives for projects that involve job creation and capital expenditures. We use a multi-disciplinary approach that combines expertise in real estate, government, international trade, corporate structures and tax. Typical assignments include: identifying and evaluating sites in multiple states; negotiating and documenting discretionary and statutory incentives; providing land use and other comprehensive real estate expertise; assessing environmental impacts; analyzing comparative tax impacts; negotiating utility rates and other services contracts; and, lobbying government and regulatory agencies.

Our real estate practice is a natural extension of our economic development practice. It connects developers, builders, lenders, investors and users with the legal support necessary to execute real estate deals. We have participated in and advised on all aspects of the large project life cycle, including: RFP preparation and response; land use and entitlement proceedings; site selection and permitting; environmental due diligence; project construction and operation; privatization of state-owned assets; grant negotiations; and, equity placements and financings. In addition to legal expertise, our team includes considerable brokerage experience at some of the world’s top commercial real estate firms.

Government Relations


Our government relations practice handles interactions of all types at the local, state and federal level throughout the United States. We are proficient in both executive and legislative branch work; however, we are at our best employing top down executive branch approaches. While typical assignments involve negotiating job creation and capital expenditure incentives, other assignments include: legislative and executive branch lobbying; contract procurement; administrative hearings; good will building; and, regulatory compliance. Additionally, we have worked with US companies on matters involving foreign governments around the world and have significant experience in China, Southeast Asia and India.



Our corporate practice provides a full spectrum of legal services to corporations big and small. For earlier stage businesses, assignments include business planning, corporate formation, joint venture and strategic partner negotiations, new market entry and financings. Later stage assignments include labor and employment counsel, IP protection, mergers and acquisitions and contract negotiations of all types. In some instances, we will act as a virtual general counsel with front line responsibility for all local legal affairs.



Our tax practice intersects almost every transaction we manage, allowing our clients to achieve tax-efficient results in both operation and exit. Typical assignments include: taxable and nontaxable acquisitions; domestic tax structuring, including entity formation issues, internal restructurings, entity conversions; general S corporation, limited liability company and partnership tax issues; public and private securities offerings; tax-exempt organization advice, including 501(c)(3) compliance and governance; equity compensation; and, international tax planning considerations, including transfer pricing, controlled foreign corporation and passive foreign investment company issues, and Section 367 and Section 1248 dispositions.

International Trade


Our international practice provides clear, thoughtful counsel to help US companies manage foreign investments, ensure repatriation of capital and profit, provide risk mitigation and resolve other hurdles involved with international transactions. Typical assignments include: business acquisitions; joint venture negotiations; intellectual property protection; data privacy controls; capital market exploration; sales and distribution arrangements; and, import/export. We also advise foreign companies, individuals and governments on their inbound US activities and have significant immigration expertise.
